By accessing or using the ThaVibes services, you signify your agreement to be bound by these Terms of Use. Please read them carefully as they define your rights and obligations while using our platform.

1. Introduction
ThaVibes provides a diverse range of services designed to support content creators in sharing and monetizing their work. Our services are accessible via our web application on both desktop and mobile platforms. By using our services, you agree to comply with these terms, which govern your use of the platform and its features.

2. Description of Services
ThaVibes offers an array of services to creators and consumers, including:

    • Content Streaming: Creators can upload a wide variety of original content, including films, music and other multimedia for global streaming. Consumers can discover, stream and enjoy content from independent creators around the world.
    • Event Management and Ticket Sales: Creators have the opportunity to host events, sell tickets and manage attendance through our integrated marketplace. 
    • Monetization through Donations: Our platform enables fans to directly support creators through monetary donations. ThaVibes charges a transaction fee on these donations.
    • AI-Driven Creator Tools: To empower creativity and innovation, ThaVibes provides state-of-the-art generative AI tools enabling creators to bring their visions to life with enhanced efficiency and creativity.
    • Digital Wallets and Transactions: Secure digital wallets are provided for users to manage funds, facilitating seamless transactions thus supporting financial freedom and autonomy.

3. Content Licensing and Intellectual Property Rights
Upon uploading content to the ThaVibes platform, creators grant ThaVibes a perpetual, non-exclusive, royalty-free, worldwide license to host, distribute, promote, market and monetize their content. Creators earn revenue through monetization features available as renumeration for their contributions to the platform. This license also allows ThaVibes to utilize advanced AI technologies for enhancing service quality and user recommendations, while maintaining strict adherence to privacy and data protection laws. This license all ThaVibes respects intellectual property rights and requires all users to do the same. Unauthorized use of content is prohibited and users must ensure that they have the necessary rights to any content they upload or share.

4. User Eligibility and Account Security

      • Eligibility Requirements: To register for and use ThaVibes, you must be at least 16 years of age or the age of majority in your jurisdiction. Minors may use the service under the supervision of a parent or legal guardian, who agrees to be bound by these terms.
      • Account Ownership and Responsibilities: The individual who creates a ThaVibes account is designated as the “Account Owner” and is responsible for maintaining the confidentiality of account credentials, including passwords and payment information. The Account Owner is also responsible for any and all activities that occur under the account. It is crucial to maintain accurate and current information in your account settings to ensure smooth service delivery.
      • Security Measures: ThaVibes employs robust security measures to protect user data and account integrity. Users are encouraged to adopt strong passwords and enable any additional security features offered, such as two-factor authentication. In the event of suspected unauthorized access or security breaches, users should promptly notify ThaVibes to mitigate potential risks.

5. Non-Commercial Use and User Conduct

    • Personal Use Limitation: ThaVibes services and content are intended solely for personal and non-commercial use. Users are granted a non-exclusive, non-transferable, limited license to access and view content for personal entertainment purposes. This license does not permit public performances, commercial exhibitions, or any other unauthorized dissemination of content.
    • Prohibited Conduct: Users agree to use the platform in compliance with all applicable laws and regulations. Unauthorized activities, including but not limited to, the reproduction, distribution, modification, or creation of derivative works from any content on the platform, are strictly prohibited. Users must not circumvent, disable, or otherwise interfere with security-related features of the platform.
    • Content Standards and Community Guidelines: ThaVibes is committed to maintaining a respectful and inclusive community. Users must adhere to community guidelines that prohibit the posting of offensive, harmful, or illegal content. ThaVibes reserves the right to remove content and terminate accounts that violate these standards.

6. Geographic Restrictions and Content Availability

    • Regional Access: ThaVibes content is primarily accessible in the country where the user’s account is registered, subject to our licensing agreements. The availability of specific content may vary based on geographic location and is subject to change in accordance with licensing restrictions.
    • Streaming Quality: The quality and resolution of streamed content may vary
      based on a variety of factors, including the user’s location, available bandwidth and the capabilities of their device. ThaVibes endeavors to provide the highest quality streaming experience and recommends a minimum internet connection speed of 5.0 Mbps for HD content and 25.0 Mbps for Ultra HD. Users are responsible for any internet service fees incurred while accessing our services.

7. Account Management and Payment Methods

      • Updating Payment Information: Users are responsible for maintaining accurate and current payment information within their account settings. This ensures seamless processing of transactions, including donations and event ticket purchases. ThaVibes reserves the right to suspend services for accounts with outdated or invalid payment details.
      • Transaction Security: ThaVibes employs state-of-the-art security protocols to protect financial transactions conducted on the platform. Users are encouraged to regularly review their transaction history and report any discrepancies to our support team promptly.
      • Fraud Prevention: ThaVibes reserves the right to terminate or restrict access to accounts engaged in fraudulent or unauthorized activities. This includes, but is not limited to, identity theft, unauthorized payments, or any activity that compromises the security of the platform or its users.

8. Warranty Disclaimer and Limitation of Liability

      • Service “As-Is”: ThaVibes provides its services on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement.
      • Liability Limitation: To the fullest extent permitted by applicable law, ThaVibes, its affiliates, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the services. This includes, but is not limited to, loss of profits, data, or goodwill.

9. Dispute Resolution and Arbitration

      • Arbitration Agreement: By using ThaVibes, you agree to resolve any disputes through binding arbitration, rather than in court, except for matters that may be taken to small claims court. Arbitration is less formal than a lawsuit and uses a neutral arbitrator instead of a judge or jury.
      • Class Action Waiver: To the maximum extent permitted by law, both you and ThaVibes agree to waive the right to any class action or to participate as a plaintiff or class member in any purported class or representative proceeding. Disputes will be resolved on an individual basis.

10. Amendments and Modifications

      • Changes to Terms and Service: ThaVibes reserves the right to modify these Terms of Use at any time. Users will be notified of significant changes at least 30 days prior to their implementation. Continued use of the service following such changes constitutes acceptance of the new terms.
      • Assignment: ThaVibes may assign its rights and obligations under these Terms of Use to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise.

11. Miscellaneous Provisions

      • Governing Law: These Terms of Use and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles.
      • Unsolicited Submissions: ThaVibes does not accept unsolicited submissions or ideas for its content and is not responsible for any similarities between its content or programming and any materials submitted to ThaVibes.
      • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
      • Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by ThaVibes, constitute the entire agreement between you and ThaVibes regarding your use of the service.
      • Electronic Communications: You consent to receive communications from ThaVibes electronically, including account notifications, updates and changes to these Terms.
