Terms of Use

1. Agreement

These Terms of Use ("Terms") govern your access to and use of ThaVibes, operated by ThaVibes Ltd ("ThaVibes," "we," "us"). By creating an account, watching, uploading, tipping or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which forms part of them. If you do not agree, do not use the Services.

2. Eligibility and accounts

• You must meet the minimum age required by law (13 under COPPA; the age of majority — generally 18 — in Trinidad and Tobago and most CARICOM jurisdictions). Younger users may only use the Services with verifiable parental or guardian consent and supervision.
• You must provide accurate information and confirm your email address before certain features are available.
• You are responsible for keeping your password secure and for all activity on your account. Tell us immediately at support@thavibes.com if you suspect unauthorised use.
• We may approve, suspend or close accounts, or change roles (viewer, creator, admin), to protect the community or comply with law.

3. Watching content

ThaVibes is a culture-first streaming service for Caribbean, African and international independent film. Content is currently free to watch. Titles, trailers and previews are streamed through our video partner and are licensed to you for personal, non-commercial viewing only.

You may not download, record, re-stream, scrape, circumvent playback protections or otherwise copy content except through features we provide. We may add, remove or change titles, features and pricing at any time; if paid memberships or rentals are offered in future, the price and terms shown at checkout will apply.

4. Popcorn tips

• Viewers may voluntarily send tips ("popcorn") to the creator assigned to a title. Tips are one-time payments processed by Stripe and are subject to Stripe's terms.
• Tips are gifts to creators, not purchases. They do not grant ownership, rights, perks or refunds, except where required by law or in cases of fraud or error we confirm.
• ThaVibes keeps a platform fee set by ThaVibes and shown when you tip. The fee in effect when a tip is sent applies to that tip.
• Creator earnings are recorded in their dashboard and paid out by ThaVibes on a periodic basis. We may withhold, delay or reverse payouts for chargebacks, suspected fraud, legal requirements or breach of these Terms. Creators are responsible for their own taxes.

5. Creators and your content

• You keep ownership of films, trailers, artwork, metadata and other content you submit or that is assigned to your account ("User Content").
• You grant ThaVibes a worldwide, non-exclusive, royalty-free, sublicensable licence to host, stream, display, translate, promote, rank, excerpt (for trailers, previews and marketing) and otherwise use User Content to operate and improve the Services, and as described in our Privacy Policy (including de-identified AI development).
• You confirm you own or have all necessary rights, consents and releases for your User Content, including music, performers and locations, and that it does not infringe anyone's rights or break any law.
• Submissions may be reviewed, sorted, categorised, featured, pinned, ranked or rejected by our team at our discretion. Views, ratings and shares may influence rankings such as Top 10 and the Leaderboard.

6. Profiles, ratings and sharing

Your public profile (display name, picture, bio and assigned content) is visible to everyone. Ratings must reflect your honest opinion; you may rate each title once and change it later. When you share a title to another platform, that platform's terms apply. Do not impersonate others or use misleading names or pictures.

7. Prohibited conduct

You must not:

• Upload or promote content that is illegal, infringing, sexually exploits minors, incites violence or hatred, harasses others, or is a deceptive deepfake.
• Manipulate views, ratings, shares, rankings or tips, including with bots, fake accounts or coordinated activity.
• Probe, scan or test our systems without permission, bypass access controls, or access data belonging to others (see our Security page for responsible disclosure).
• Use payment features for money laundering, fraud or any purpose prohibited by our payment partners.
• Reverse engineer, resell or commercially exploit the Services without our written consent.

8. Copyright complaints

If you believe content on ThaVibes infringes your rights, email connect@thavibes.com with the work, the ThaVibes link, your contact details and a good-faith statement. We may remove content and terminate repeat infringers.

9. Translation and third-party services

On-device translation is provided for convenience and may be inaccurate; titles and names are not translated. The Services rely on third parties such as Stripe and Vimeo, and we are not responsible for their availability or practices.

10. Termination

You may stop using the Services at any time and request account deletion via support@thavibes.com. We may suspend or terminate access, remove content or withhold payouts if you breach these Terms or create risk for ThaVibes or others. Sections that by their nature should survive termination will survive.

11. Disclaimers and limitation of liability

The Services are provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not guarantee uninterrupted playback, earnings, rankings or audience size.

To the maximum extent permitted by law, ThaVibes is not liable for indirect, incidental, special, consequential or punitive damages, and our total liability for any claim is limited to the greater of US$100 or the amount you paid ThaVibes in the 12 months before the claim. Nothing limits rights that cannot be excluded under your local law.

12. Indemnity

You agree to indemnify ThaVibes against claims, losses and costs arising from your User Content, your use of the Services or your breach of these Terms.

13. Changes, governing law and contact

We may update these Terms; material changes will be notified at least 30 days in advance via email, in-app notice or platform posting. Continued use after the effective date means you accept the changes.

These Terms are governed by the laws of the State of Delaware, USA, without prejudice to non-waivable rights under the laws of Trinidad and Tobago, other CARICOM states, the EU or your local law. Questions: connect@thavibes.com.
